Referral Program Rules

Definition

  • Delta Exchange India (“Delta Exchange”) - Delta Exchange is a derivatives trading platform that offers features like futures, options, and leveraged trading for virtual digital assets.
  • Referrer (“Affliate”) - A legal or natural person with an active and verified Delta Exchange account who shares or publishes a Referral link containing their unique Referral Code to invite new users to Delta Exchange.
  • Designated Affiliates - Legal or Natural persons approved by Delta Exchange for customized referral terms based on mutual discussion. Their status and benefits are determined solely at the sole discretion of Delta Exchange.
  • Referrals (“Refered Users”) - Anyone who signs-up on Delta Exchange using the Affiliate's Referral code.
  • Referral Program - A performance-based marketing arrangement whereby Affiliates and Designated Affiliates promote Delta Exchange and earn Referral Commissions based on the trading activity of their Referred users.
  • Affiliate Services - This refers to the promotional and referral activities conducted by Affiliates & Designated Affiliates to drive user traffic to Delta Exchange.
  • Referral Code - This is a system generated unique identifier code associated with the respective Affiliate which is made available only after successful verification of the submitted KYC. Such Referral Code can also be customized.
  • Referral Link - This is a unique URL/ HTTPS Link containing the unique referral code i.e. https://www.delta.exchange/?code=XXXXX, that an Affiliate shares to invite new users to Delta Exchange.
  • Trading Fees - Charge levied by Delta Exchange for executing a trade on the exchange without deduction of any promotional discounts.
  • Net Trading Fees - The actual fee paid by the Referred User to Delta Exchange after deduction of any promotional discounts used during payment of trading fees.
  • Referral Commission - A percentage of the Net Trading Fee shared with the Affiliate as a reward when their Referred Users who signed up using their Referral Code, start trading on Delta Exchange.
  • Referral Discount - Discount in Trading Fees offered to Referred Users only as part of the Referral Program.
  • Promotional Discounts - Discounts including but not limited to fee paid in delta cash and revenue share given to market makers as and when applicable in any particular trade.
  • KYC Verification - Verification of the KYC (Know Your Customer) as submitted by the Referred User by Delta Exchange.
  • Sign-up - Enrolling on Delta Exchange for account creation by an Affiliate/ Referred user, as the case may be.

Interpretation

  • Words in the singular include the plural, and words in the plural include the singular. Headings and defined terms are for convenience and can be used interchangeably without changing the meaning.

Applicability & Acceptance

  • These Referral Program Rules, read together with the Affiliate Agreement (hereinafter collectively referred to as the "Affiliate Terms"), apply to:
    • Designated Affiliates who provide Affiliate services under the Referral Program;
    • Affiliates who provide Affiliate services under the Referral Program; and
    • Referred Users who are referred to Delta Exchange by such Designated Affiliates and/ or Affiliates, as the case may be.
  • The Affiliate Terms do not apply to Users signing-up on Delta Exchange independently, without being referred by an approved Affiliate, or to Designated Affiliates. However, these Affiliate Terms become binding and applicable once such users provide Affiliate Services as an Affiliate or Designated Affiliate, as the case may be.
  • Participation in the Referral Program and/or engagement with referred users constitutes acceptance of these Affiliate Terms.

Benefits for Referred Users

  • Ten percent (10%) discount on the net trading fees for two(2) months from the date of Sign-up shall be applicable on selected referral codes only as determined by Delta Exchange
  • Fee structures may vary with contracts. Discounts will apply on all contracts. Fee structures for all contracts are available here.

Benefits for Affiliates

  • Affiliates receive a ten percent (10%) share of the Net Trading fee paid by their Referred Users after deduction of the Referral Discount applied.
  • The Referral Commission shall be paid in INR for a period of two (2) months from the sign-up date of the Referred users on Delta Exchange.
  • The Referral commissions earned from their respective Referred Users are credited to their Referral Wallet on Delta Exchange once every day at 05:30 am IST. This crediting time is indicative and not guaranteed. It is subject to change, including delays, in the event of disruptions arising from factors beyond human control, as further detailed under the Force Majeure clause of the Affiliate Agreement and the Terms of Service.
  • The Referral Commission will be added to the Referral Wallet. This Referral Commission cannot be used for the purposes of trading on Delta Exchange.
  • Referral Commission can only be withdrawn to the Affiliate's whitelisted bank accounts as added on Delta Exchange. Click here to withdraw referral earnings.
  • However, such withdrawals shall be subject to certain minimum thresholds i.e. INR 500/- (Rupees Five Hundred only). This minimum withdrawal threshold is not fixed and may be revised at the sole discretion of Delta Exchange at any time without prior notice.

Designated Affiliate(s)

  • Payout terms for Designated Affiliates may be different, based on mutual discussions and as determined by Delta Exchange in its sole discretion.

Rules

  • Delta Exchange reserves the right to amend the rules of the Referral Program at any time without any prior notice. Continued participation in the Referral Program following any such amendments to the Rules will be considered as unconditional acceptance thereof.
  • The Referral Program is applicable to the main account only and not any sub-account(s).
  • Affiliates shall not get Referral Commission for maker trades in options and futures.
  • If the trading fee paid on an options contract is five percent (5%) of the premium, then both Referred user & Affiliate shall not get any benefits of the Referral Program.
  • Running search engine ads on brand keywords of Delta Exchange or competing with Delta Exchange on any marketing channel whether paid or unpaid or in any other manner is strictly prohibited. The account of any Affiliate discovered to be engaging in such type of behavior shall be suspended without any warning and/ or written notice. Delta Exchange reserves the exclusive and unconditional right to clawback any Referral Commissions previously paid to such Affiliates and to withhold any Referral Commissions that would be due or payable.
  • The use of Delta Exchange’s logos, wordmarks, trademarks, or any brand identifiers—whether registered, unregistered, or pending registration—in any paid or unpaid advertising or promotional activity, whether online or offline, is strictly prohibited without the prior written approval of Delta Exchange. This restriction applies to all forms of media and advertising channels, whether paid or unpaid and includes any direct or indirect usage that may suggest association, endorsement, or affiliation with Delta Exchange. Unauthorized use may lead to legal action. Delta Exchange reserves the right to determine, in its sole discretion, whether any use violates this clause.
  • Users that engage in any inappropriate, dishonest or abusive activities (such as wash trading, volume faking, participating using multiple accounts, market manipulation, etc.) are not eligible for participation in the Referral Program. If an Affiliate is discovered to be colluding with such account(s), then such Affiliate shall be disqualified from the Referral Program. Delta Exchange reserves the right to take any necessary action in such cases, including but not limited to suspension or termination of the Affiliate’s account, recovery of previously paid Referral Commission and/ or forfeiture of any accrued Referral Commissions, and initiation of legal proceedings or other remedies as deemed appropriate.
  • All Referral Commission made to Affiliates under this Referral Program shall be subject to TDS at two percent (2%) as applicable under the prevalent Income Tax Laws. The said TDS may be subject to revisions pursuant to any amendments thereof.
  • The Referral Commission shall be paid to the Affiliate only after their submitted KYC is successfully verified. Any such Referral Commission that might have accrued before successful verification of the submitted KYC shall not be paid till the time such KYC is successfully verified.
  • Referral Commissions are inclusive of all applicable taxes, including but not limited to Goods and Service Tax (GST) and Tax Deduction at Source (TDS). Any taxes, including but not limited to GST and TDS, shall be deducted from the Referral Commission amount.
  • By participating in the Delta Exchange Referral Program, you agree to abide by and be bound by all the terms and conditions in our Referral Program Rules, Affiliate Agreement as well as the Terms of Service.
  • The benefits offered to the Referred User and the corresponding Affiliate payout shall be determined by the terms of these Referral Rules read with the Affiliate Agreement.
  • If you are creating content, you are advised to include the following disclaimer as per guidelines issued by Advertising Standard Council of India (ASCI): ”Crypto products and NFTs are unregulated and can be highly risky. There may be no regulatory recourse for any loss from such transactions.”

Amendment

  • Delta Exchange reserves the exclusive and absolute right to amend, modify, or withdraw these Rules at any time, at its sole discretion, without prior notice.
  • Any such amendments shall be binding upon all Affiliates and Referred Users, and also be deemed to have retrospective effect i.e. any Referral Commission accruable to Affiliates in relation to their past Referrals shall thenceforth be in accordance with the amended Rules. Furthermore, all future referrals shall also be governed by the Rules as amended from time to time.
  • By continuing to participate in the Referral Program, Affiliates and Referred Users expressly agree to be bound by the terms of the Rules as revised.

Interpretation and Integration

  • These Referral Rules shall be deemed to form an integral part of the Delta Exchange Affiliate Agreement and Terms of Service and shall be read in conjunction and consonance with the terms contained therein.
  • In the event of any inconsistency or conflict between the provisions of these Rules and the Affiliate Agreement, Delta Exchange shall have the sole and absolute discretion to determine which provision(s) shall prevail.

Disclaimer

  • Virtual digital assets are currently unregulated in India and in several other jurisdictions. Participation in transactions involving such assets involves a high degree of financial, legal, and regulatory risk. Investors and users may not have access to any regulatory or statutory recourse in the event of losses or disputes arising from such transactions.
